COMMISSION AGREEMENT
THIS COMMISSION AGREEMENT (“Agreement”) is entered into this ___ day of _______
200__ by and between God’s Favorite People, Inc., a publicly supported foundation, (GFP) and _________________________(“Contractor”). In consideration of the mutual promises and conditions contained herein, the parties hereto agree as follows:
- Referrals. The parties acknowledge that as a result of Contractor’s efforts, GFP may become aware of certain potential donors or leads for its services, and that such efforts of COntractor constitute a valuable service and resource of GFP. As a material inducement to Contractor’s efforts on its behalf, GFP agrees to protect the Contractor’s interests by assuring him a commission on donations which directly result from his efforts on GFP’s behalf.
- Commissions. Contractor shall be entitled to a commission of ____ percent of donations which he procures for GFP during the term of this Agreement, provided that such new donor was one which was not already knowdn to GFP as a propective donor. Contractor agrees that such commissions are not earned and his rights thereto are not vested until GFP has received the donation from the specific donor giving rise to such commission, and then only to the extent otherwise privded herein, and that while the vested commissions may not be altered, GFP may amend its policies to affect, in any manner whatsoever, commissions not yet earned or vested.
- Asssignment. Contractor hereby irrevcocably assigns and relinquishes to GFP any and all right, title and interest, to all donations and proceeds therfrom which GFP derives from the Leads which Contractor brings to GFP other than the Commission specifically described herin.
- Contractor’s Authority. Contractor shall have no power or authority to solicit or accept donations other than as determined from time to tome by GFP. Contractor shall be personally liable for any damages suffered by GFP as a result of his breach of this Paragraph or of any otherterm of this Agreement.
- Independent Contractor Relationship. The parties stipulate and agree that Contractor is an Independent Contractor with respect to his activities on GFP’s behalf. This Agreement does not create any employer/employee relationship between the parties, and Contractor shall not claim or hold himself out to be a partner, joint venturer, or associate of GFP. Contractor shall be fully responsible for the payment of all federal and state income taxes and self-employment taxes with respect to amounts paid to him hereunder. GFP shall not make any contributions to any government or quasi-government agency or insuror with respect to or on behalf of Contractor.
- Entire Agreement. This agreement contains the entire understanding
and agreement between the parties. All promises, representations, warranties, covenants, or inducements made by either party to the other, not contained in writing herein are expressly superseded and
shall have no force or effect whatsoever.
The Parties hereby execute this Agreement on the date first set forth above.
